サイボウズ株式会社(以下、「サイボウズ」といいます。)の上記のソフトウェア(以下、「本ソフトウェア」 といいます。)を使用されようとしている法人、団体のみなさま(以下、「お客様」といいます。)へのご注 意: 本使用許諾契約書(以下、「本契約書」といいます。)は、お客様とサイボウズの間に締結される法的な契約 書です。本ソフトウェア製品の使用を開始した場合には、お客様は本契約書の条項に拘束されることに承諾 したものとし、本使用許諾契約(以下、「本契約」といいます。)が成立したものとみなされます。本ソフト ウェアは、著作権法および著作権に関する条約をはじめ、その他の知的財産権に関する法律ならびにその条 約によって保護されています。本ソフトウェアはサイボウズがお客様に対してその使用を許諾するもので、 販売するものではございません。 なお、本ソフトウェアには、サイボウズが著作権を有しない第三者のプログラムが含まれる場合がありま す。これらのプログラムには本契約書の効力は及びません。各プログラムの使用条件については、本ソフト ウェア製品の使用前に、添付の「第三者プログラムの使用条件一覧」の記載に基づき、各プログラムのライ センスファイルをご確認ください。 これらの使用条件に同意できない場合は、本ソフトウェアを使用することはできませんので、速やかにアン インストールしてください。

1. 使用範囲 本契約書はお客様に対し以下の権利を許諾いたします。 (1)お客様は、本ソフトウェアにおいて、お客様がアクセスする対象となるサービス(以下、総称して「アク セス対象サービス」といいます。)に登録されたユーザのうち、本ソフトウェアを試用または使用するユーザ としてお客様により指定された方のみ、本ソフトウェアをインストールして使用させることができます。た だし、お客様は、本ソフトウェアの使用に関して各ユーザを本契約に従わせることとします。 (2)お客様は、本ソフトウェアの使用において、アクセス対象サービスに関する使用許諾契約等に従ってアク セス対象サービスに関する使用権等の購入が必要になります。 2.本ソフトウェアご利用に関する情報等の送信 サイボウズは、製品の改善および向上のため、本ソフトウェアのご利用等に関する以下の情報を、お客様 の同意を得た上で取得することがあります。送信される情報は、当該ご利用状況等の収集・解析に必要な範囲 で、サイボウズグループ内で利用するものとします。また、以下に記載している全ての情報は、お客様個人 の情報をひもづけて利用することはできない仕様になっております。 ▼クラッシュログについて クラッシュログそのもの、デバイスの種別やバージョンの情報が送信されます。サイボウズは、クラッシュ ログの収集に Fabric を利用しており、情報は、送信の可否をお客様に都度確認したうえで、Fabric に送信 されます。なお、Fabric では本ソフトウェアをご利用されているお客様の端末の OS の種別やバージョン、 デバイスの種別等の情報を定期的に送信する仕様になっております。 取得する情報の取り扱いについては、本契約書の定めの他、サイボウズのポリシーをご確認ください。 https://cybozu.co.jp/privacy/

▼Fabric により取得される情報の取扱いについては Fabric の Services Agreement をご覧ください。 https://fabric.io/terms 3.そのほかの権利と制限 (1)お客様は、お客様の入力されたデータをバックアップすることのみを目的に本ソフトウェアを複製するこ とができます。 ただし、お客様のデータバックアップを目的とした複製物は、バックアップしたデータを復旧する場合を除 いて、お客様の保有するものであると第三者の保有するものであるとを問わず、いかなるコンピュータ上に おいても並行して使用されないことを条件とします。 (2)お客様は、本ソフトウェアを、バックアップする目的以外の複製、頒布、貸与、送信(自動公衆送信、送 信可能化を含む)、リース、担保設定等を行なうことはできません。また、本ソフトウェア製品を使用する権 利を譲渡、転売、あるいはその試用または使用を許諾することはできません。

(3)お客様は、本ソフトウェアあるいは本ソフトウェアに関するドキュメントを修正、翻訳、リバースエンジ ニアリング、逆コンパイル、逆アセンブル、または本ソフトウェアの派生製品を作成することはできませ ん。また、お客様は本ソフトウェアの構成部分を分離して使用することはできません。 4.本契約の解除および終了 (1)お客様が本契約の条項および条件の 1 つにでも違反した場合、サイボウズは本契約をなんらの催告なくし て即時解除することができます。 (2)本契約が解除となった場合、お客様は、本ソフトウェア、構成部分、ドキュメント、ならびにその一切の 複製物を破棄、コンピュータの記憶媒体上から完全に消去し、試用または使用を継続してはなりません。 (3)本契約の解除に伴って本ソフトウェアの全部または一部が利用不可能となることによって、お客様ならび に第三者が被った損害等について、サイボウズは一切責任を負いません。 5.保証の制限 (1)サイボウズは、本ソフトウェアに含まれた機能がお客様の要求を満足させるものであること、本ソフトウ ェアが正常に作動すること、本ソフトウェアに瑕疵(いわゆるバグ、構造上の問題等を含む)が存していた 場合にこれが修正されること、のいずれも保証いたしません。 (2)サイボウズは本ソフトウェアの機能および本ソフトウェア製品に付随するサービス等についてお客様の事 前の許可なく変更・中止する場合があります。本契約締結時における本ソフトウェア製品と同等の使用環境 を永続的に保証するものではありません。 (3)サイボウズの口頭又は書面等による一切の情報又は助言は、新たな保証を行ない、又はその他いかなる意 味においても本保証の範囲を拡大するものではありません。 6.責任の制限 (1)お客様は、本ソフトウェアの使用および本ソフトウェア製品に付随するサービスの利用に基づいて発生し た一切の直接・間接の損害(データ滅失、サーバーダウン、業務停滞、第三者からのクレーム等)および危 険はすべてお客様のみが負うことをここに確認し、同意するものとします。 (2)いかなる場合であっても、不法行為、契約その他いかなる法的根拠による場合でも、サイボウズ、本ソフ トウェアの供給者、再販売業者、および各情報コンテンツの提供会社は、お客様その他の第三者に対し、営 業価値の喪失、業務の停止、コンピュータの故障による損害、その他あらゆる商業的損害・損失等を含め一 切の直接的、間接的、特殊的、付随的または結果的損失、損害について責任を負いません。さらに、サイボ ウズは、第三者のいかなるクレームに対しても責任を負いません。 7.著作権等

(1)本ソフトウェア(HTML プログラム部分および各画面表示部分を含む一切)、本ソフトウェアに関する文 書、図面、ドキュメントなどの文書に関する所有権、著作権をはじめとするその他一切の知的財産権(以 下、「本件知的財産権」といいます。)は、サイボウズおよびその供給者に帰属します。 (2)本件知的財産権は、著作権法およびその他の知的財産権に関する法律ならびに条約によって保護されてい ます。したがって、お客様はこれらを他の著作物と同様に扱わなければなりません。 (3)本ソフトウェアからアクセスされ表示・利用される各コンテンツについての知的財産権は、各情報コンテ ンツ提供会社の財産であり、著作権法およびその他の知的財産権に関する法律ならびに条約によって保護さ れています。 8.準拠法および雑則 (1)本契約は法の抵触に関する原則の適用を除いて日本国の法律を準拠法とします。 (2)日本国内で行った取引に基づく本契約または本ソフトウェアに関して、当事者間に紛争が生じた場合に は、東京地方裁判所を第一審管轄裁判所とします。また、日本国外で行った取引に基づく本契約または本ソ フトウェアに関して、当事者の間に生ずることがあるすべての紛争、論争または意見の相違は、(社)日本商 事仲裁協会の商事仲裁規則に従って、東京において仲裁により最終的に解決されるものとします。 9.その他 お客様が入手した本ソフトウェアに、本契約と異なる条項の使用許諾契約および条件が添付されている場合 は、サイボウズによって特に本契約と異ならしめるものと明記してあるものを除き、お客様による本ソフト ウェアの使用には、本使用許諾契約が優先して適用されるものとします。 本契約は、両当事者間の使用許諾に関する唯一の合意であり、両当事者の署名ないし記名押印ある書面によ ってのみ、変更することができます。また、販売店等がお客様に対して用意している注文書に記載されてい る条件は、本契約に対して効力を持たず、本契約内容にいささかの影響をもあたえるものではありません。 本契約の条項のいずれかについて、適用される法令によりその効力が制限される場合には、当該条項は、か かる法令で許容される範囲内で効力を有するものとします。また、本契約の条項のいずれかが、適用される 法令により無効とされた場合でも、他の規定は引き続き効力を有するものとします。 ―――――――――――――――――――――――――――――――――――――――― 【第三者プログラムの使用条件一覧】
