DESCRIPTION OF PERSONAL PROPERTY

Granting Clause III Equipment. All right, title and interest of the Mort- gagor in, to, under or de- rived from (i) all fixtures, chattels and articles of personal property owned by the Mortgagor or in which the Mortgagor has or shall acquire an inter- est, wherever situated, and now or hereafter lo- cated on or in, or affixed (actually or constructively) to, the Property, whether or not affixed thereto and which are not real property under Applicable Laws, including, to the extent of the Mortgagor’s now or hereafter acquired inter- est therein, all partitions, shades, blinds, curtains, draperies, carpets, rugs, furniture and furnishings;
(ii) all heating, lighting, plumbing, ventilating, air conditioning, refrigerating, gas, steam, electrical, in- cinerating and compacting plants, systems, fixtures and equipment; (iii) all el- evators, stoves, ranges, other kitchen and laundry appliances, vacuum and other cleaning systems, call systems, switch- boards, sprinkler systems and other fire prevention, alarm and extinguishing apparatus and materials, and (iv) all motors, machin- ery, pipes, conduits, dyna- mos, engines, compres- sors, generators, boilers, stokers, furnaces, pumps, trunks, ducts, appliances, equipment, utensils, tools, implements, fittings and fixtures, and including any of the foregoing that is temporarily removed from the Property to be repaired and later reinstalled there- on or therein (the foregoing being collectively called the “Equipment” and shall not in any event include the Lessee’s Equipment and Personalty) if the Lien of this Mortgage is subject to a security interest covering any portion of the Property described in this Granting Clause III, then all of the right, title and interest of the Mortgagor in and to any and all such property as hereby assigned to the Mortgagee, together with the benefits of all depos- its and payments now or
hereafter made thereon by or on behalf of the Mort- gagor
Granting Clause IV Appurtenant Rights. All estate, right, title and in- terest of the Mortgagor in, to, under or derived from all tenements, heredita- ments and appurtenances now or hereafter relating to the Property, all rights of ingress and egress now or hereafter appertaining to the Property; all easements and rights of way now or hereafter appertaining to the Property, and all royal- ties and other rights now or hereafter appertaining to the use and enjoyment of the Property, including al- ley, party walls, support or drainage rights
Granting Clause V Agreements. All estate, right, title and interest of the Mortgagor in, to, under or derived from all agree- ments now or hereafter relating to the Property or the appurtenances to the Property, or the franchises and privileges connected therewith (collectively, the
“Appurtenant Property”), and any other agreements, including all mortgages or deeds of trust, restric- tive covenants, deed re- strictions and easements (including any Permitted Encumbrances) and all in- surance policies, all guar- antees and warranties, all supply and service con- tracts for water, sanitary and storm sewer, drain- age, electricity, steam, gas, telephone or other utilities that are necessary to oper- ate the Property for its then current use and all other documents, agreements and instruments, in all of such cases now or hereaf- ter relating to the Property or the Appurtenant Prop- erty (the foregoing being collectively called the
“Agreements”) Granting Clause VI Leases. All estate, right, title and interest of the Mortgagor in to, under or derived from all leases and subleases (including, with- out limitation, the lease) now or hereafter in effect, whether or not of record, for the use or occupancy of all or any part of the Property, including without limitation all guarantees of the tenants’ or subtenants’
obligations thereunder, and (i) all rent and other amounts now or hereafter payable to the Mortgagor thereunder, (ii) all rights of the Mortgagor (subject to the Indenture and the Note Purchase Agreement) to exercise any election or option or to make any decision or determination or to give any notice, con- sent, waiver or approval or to take any other action under or in respect of any of such leases or to accept any surrender or redelivery of the Property or any part thereof, as well as all the rights, powers and rem- edies of the Mortgagor, whether acting under any of the leases or by statute or at law or equity, or oth- erwise, arising out of any default or event of default under any of such leases, and (iii) all estate, right, title and interest of the Mort- gagor as a secured party or lienholder thereunder to the extent a security inter- est or Lien may be deemed to be created by any such lease (the foregoing being collectively referred to as the “Leases”)
Granting Clause VII Rents, Issues and Profits.
All estate, right, title and interest of the Mortgagor in, to, under or derived from all rents, royalties, issues, profits, receipts, revenue, income and other benefits now or hereafter accruing with respect to the Property, including all rents and other sums now or hereafter payable pur- suant to the Leases, all other sums now or here- after payable with respect to the use, occupancy, management, operation or control of the Property, and all other claims, rights and remedies now or hereafter belonging or accruing with respect to the Property, including fixed, additional and percentage rents, oc- cupancy charges, security deposits, parking, main- tenance, common area, tax, insurance, utility and service charges and contri- butions (whether collected under the Leases or oth- erwise), proceeds of sale of electricity, gas, heat- ing, air-conditioning and other utilities and services (whether collected under the Leases or otherwise), and deficiency rents and liquidated damages follow- ing default or cancellation (the foregoing rents and other sums described in this Granting Clause be- ing collectively called the
“Rents”), all of which the Mortgagor hereby irrevo- cably directs be paid to the Mortgagee, to be held and applied as provided in the Indenture and the Lease Granting Clause VIII Permits. All estate, right, title and interest of the Mortgagor in, to, under or derived from all licenses, authorizations, certificates, variances, consents, ap- provals and other permits now or hereafter apper- taining to the Property (the foregoing being collec- tively called the “Permits”), excluding from the grant under this Granting Clause (but not the definition of the term “Permits” for the other purposes hereof) any Permits which cannot be transferred or encumbered by the Mortgagor without causing a default thereun- der or a termination thereof Granting Clause IX Deposits. All estate, right, title and interest of the Mortgagor in, to, under or
derived from all amounts deposited with the Mort- gagee under the Operative Documents with respect to the Property (but subject to the terms thereof), includ- ing all insurance proceeds and awards held by the Mortgagee, and including all certificates of deposit, securities and other invest- ments relating thereto and all interest, dividends and other income thereon, pro- ceeds thereof and rights relating thereto (the fore- going being collectively called “Deposits”) Granting Clause X Insurance Proceeds and Condemnation Awards.
All estate, right, title and interest of the Mortgagor in, to, under or derived from all proceeds of any conveyance, financing, refinancing or conversion into cash or liquidated claims, whether voluntary or involuntary, of any of the Mortgaged Property, including all Mortgagor’s interest in and to insurance proceeds, condemnation awards and title insur- ance proceeds under any title insurance policy now or hereafter held by the Mortgagor, and all rights, dividends and other claims of any kind whatsoever (in- cluding damage, secured, unsecured, priority and bankruptcy claims) now or hereafter to any of the Mortgaged Property, all of which the Mortgagor here- by irrevocably directs be paid to the Mortgagee to the extent provided here- under, to be held, applied and disbursed as provided in this Mortgage Granting Clause XI Additional Property. All greater, additional or other estate, right, title and inter- est of the Mortgagor in, to, under or derived from the Mortgaged Property now or hereafter acquired by the Mortgagor, including all right, title and interest of the Mortgagor in, to, under or derived from all extensions, improvements, betterments, renewals, substitutions and replace- ments of, and additions and appurtenances to, any of the Mortgaged Property hereafter acquired by or re- leased to the Mortgagor or constructed or located on, or affixed to, the Property, in each case, immediately upon such acquisition, re- lease, construction, loca- tion or affixation, all estate, right, title and interest of the Mortgagor in, to, under or derived from any other property and rights which are, by the provisions of the Operative Documents, required to be subjected to the Lien hereof; all estate, right, title and interest of the Mortgagor in, to, under or derived from any other property and rights which are necessary to maintain the Property, to the full- est extent permitted by law, without any further conveyance, Mortgage, assignment or other act by the Mortgagor, and all estate, right, title and inter- est of the Mortgagor in, to, under or derived from all other property and rights which are: by any instru- ment or otherwise subject- ed to the Lien hereof by the Mortgagor
